By using eManagr.com, you are agreeing to be bound by the following terms and conditions (“Terms of Service”). This legal notice applies to the entire contents of this website under the domain name of www.eManagr.com (“Website”) and to any correspondence, of any form, whether by e-mail or verbally between eManagr.com, and you.

Please make certain that you have read these terms and conditions carefully before using this Website. By using this Website, you are indicating that you accept and understand each of the terms of this agreement. The Terms and Conditions apply to those individuals who choose to become a member by the creation of a user name and the submission of a valid email address. If you choose not to agree to the terms, please do not register.

eManagr reserves the right to update and change the Terms of Service from time to time without notice and new features and services shall be subject to the same Terms of Service. Violation and Termination

Violation of any of the terms below will result in the termination of your Account. While eManagr prohibits such conduct and content on the Service, you understand and agree that eManagr cannot be responsible for the Content posted on the Service and you nonetheless may be exposed to such materials. You agree to use the Service at your own risk.

Account Terms

By registering for eManagr.com you are agreeing that you:

Have the capacity, right and authority to be bound by the terms and conditions of this Agreement for as long as you continue to be a Member;
Are a real person—accounts created through automated methods are forbidden;
Are one person using one account—multiple and shared accounts are forbidden;
Provide your legal full name, a valid email address, and any other information requested in order to complete the signup process;
Secure and maintain the security of your account and password—eManagr cannot and will not be liable for any loss or damage from your failure to comply with this security obligation and you are responsible for all activity and content posted under your account, even when initiated by others accessing your account;
Will not use eManagr for any illegal or unauthorized purpose or otherwise violate any laws in your jurisdiction in using eManagr; and
Provide a valid credit card for professional (paid) accounts—free accounts require no payment information;

Payment Terms

To register or create a member profile on this website is free of charge. This allows you to participate in some but not all facilities of this Website. To gain full access to the services and features you must become a paying (upgraded or professional) member. We have the right to change the subscription fee at any time, but agree to offer reasonable notice before the change takes effect (see below). The paid membership plan that you choose will run until cancelled. All paid subscriptions and any and all services of eManagr.com are of an “as is basis” and are non refundable.

Billing

eManagr bills in advance on a monthly basis, automatically by our payment service. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. Fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only United States (federal or state) taxes.

Failed payments, for whatever reason, result in downgrading to a free account, with the suspension of any paid services, until such time as you upgrade service again.

Cancellation

To intentionally cancel or downgrade your account, you must cancel the subscription via our payment processor (currently AlertPay). You are solely responsible for this act. No e-mail or phone request is sufficient to downgrade to a free account.

Service and Pricing Changes

eManagr reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.

Prices of all services, including but not limited to monthly subscription plan fees to the Service, are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the eManagr site or service itself.

eManagr shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of service.

Copyright, Trademark, and Content Ownership

We claim no intellectual property rights over the material you provide to the Service. Your profile and materials uploaded remain yours. However, by setting your pages to be shared publicly, you agree to allow others to view and share your content, and we reserve the right (but have no obligation) at our sole discretion to refuse or remove any content that is available via the service, provided by us or any user.

You must not falsely imply that any other service or website is associated with eManagr or any related service, nor may you modify or adapt the service to falsely imply that eManagr is associated with any other service or website. You also must not reproduce, duplicate, copy, sell, resell or exploit any portion of the eManagr service, use of eManagr, or access to eManagr without the express written permission of eManagr’s ownership.

General Conditions

Your use of the Service is at your sole risk. The service is provided on an “as is” and “as available” basis.
Technical support is only provided to professional account holders and is only available via email.
You understand that eManagr uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service. Content, including your created content, may be transferred unencrypted across third-party networks.
Verbal, physical, written, service, or other abuse of any eManagr customer, employee, member, officer, or system will result in immediate account termination. This includes, but is not limited to:
- Threats of abuse or retribution,
- Transmission of unsolicited commercial messages,
- Transmission of destructive code such as a worm or virus,
- Excessive bandwidth usage, and
- Denial of Service attacks.
eManagr does not warrant that:
- the service will meet your specific requirements,
- the service will be uninterrupted, timely, secure, or error-free,
- the results that may be obtained from the use of the service will be accurate or reliable,
- the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and
- any errors in the Service will be corrected.
You expressly understand and agree that eManagr shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if eManagr has been advised of the possibility of such damages), resulting from:
- the use or the inability to use the service,
- the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service,
- unauthorized access to or alteration of your transmissions or data,
- statements or conduct of any third party on the service, or
- any other matter relating to the service.
The failure of eManagr to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and eManagr and govern your use of the Service, superceding any prior agreements between you and eManagr (including, but not limited to, any prior versions of the Terms of Service).
